Terms and Conditions of Use
These Terms and Conditions of Use ("Terms of Use") set out the terms and conditions that will apply to the use of the website https://lifeline.kablee.com (the "Website"), including the submission of Requests for Quotation. Please read these Terms of Use carefully before using the Website or submitting any Request for Quotation. By accessing or using the Website, you confirm your unconditional acceptance of these Terms of Use.
In these Terms of Use, "Operator", "we" or "us" means Kablee S.r.l., a company incorporated under the laws of Italy, with registered office at Corso di Porta Romana, 6, 20122 Milan (Italy); and "User" or "you" means any individual, professional, firm, company or corporation accessing the Website and/or submitting a Request for Quotation (an "RFQ") for the cable products described on the Website (the "Products").
A copy of these Terms of Use can be stored electronically or printed by the Users.
1. Purpose and Scope
1.1 The Website is a platform that allows Users to browse cable products, select desired items and specifications (including cable lengths), add them to a virtual cart, and submit a Request for Quotation to the Prysmian team. The Website does not constitute an e-commerce platform and no sale or purchase of Products takes place through the Website. The submission of an RFQ does not constitute an order, an offer to purchase, or a binding commitment of any kind.
1.2 Upon receipt of an RFQ, the Prysmian team will review the request and may, at its sole discretion, respond to the User with a quotation. The provision of a quotation does not constitute acceptance of any order or a binding offer to sell, unless expressly stated otherwise in writing by the Prysmian team.
1.3 Any contract for the supply of Products shall be governed by separate terms and conditions to be agreed between the parties, and will not be governed by these Terms of Use.
2. Access and Account Registration
2.1 The Website is accessible to both registered and unregistered Users. Unregistered Users may browse Products, add items to the virtual cart, and submit RFQs by providing the required contact information at the time of submission.
2.2 Users may create a personal account on the Website (an "Account") free of charge. Account creation is open and is not subject to manual approval. By creating an Account, the User agrees to provide accurate, complete and up-to-date information and to keep such information current at all times.
2.3 Registered Users benefit from additional features, including the ability to save preferences, view RFQ history, and receive personalised communications. The specific features available to registered Users may be updated from time to time at our discretion.
2.4 Users are solely responsible for maintaining the confidentiality of their Account credentials and for all activities that occur under their Account. Users must notify us immediately of any unauthorised use of their Account or any other breach of security.
2.5 We reserve the right to suspend or terminate any Account at any time and at our sole discretion, including but not limited to cases where we reasonably believe that the User has violated these Terms of Use, provided false information, or is using the Website for any fraudulent or unlawful purpose.
3. Request for Quotation Process
3.1 Users may select Products displayed on the Website, specify desired quantities and cable lengths, and add them to a virtual cart. The virtual cart is a tool provided solely for the purpose of collecting and organising product selections before submitting an RFQ. The virtual cart does not represent a shopping cart in the e-commerce sense and does not imply any obligation to purchase.
3.2 To submit an RFQ, the User must review the contents of the virtual cart and confirm the submission. Unregistered Users will be required to provide contact details (including, at a minimum, name, company name, email address and telephone number) at the time of submission.
3.3 Upon submission of an RFQ, the User will receive an email confirmation acknowledging receipt of the request. This acknowledgement does not constitute a quotation, an offer, or an acceptance of any kind.
3.4 We reserve the right, at any time and at our sole discretion, to decline to respond to any RFQ, including but not limited to cases where:
- (i) the User has provided incorrect, incomplete or fraudulent information;
- (ii) there is an error on the Website relating to the Products referenced in the RFQ, for example an error relating to the description or specifications of the Products;
- (iii) the Products referenced in the RFQ are no longer available or have been discontinued;
- (iv) we have reasons to believe that the RFQ has been submitted for purposes inconsistent with the intended use of the Website; or
- (v) the User requests delivery to countries and/or locations that are not supported by us.
3.5 Any quotation provided by the Prysmian team in response to an RFQ will be subject to its own terms and validity period, as specified therein. A quotation shall not be binding until a separate written agreement or order confirmation has been executed by both parties.
4. Product Information
4.1 We will make all reasonable efforts to ensure that the information about the Products displayed on the Website (including descriptions, specifications and images) is accurate and up-to-date. However, such information is provided for indicative purposes only and does not constitute a warranty or guarantee of any kind.
4.2 We reserve the right to make changes to the information about the Products displayed on the Website at any time and without prior notice, including the removal of Products from the Website.
4.3 No pricing information is displayed on the Website. Pricing will only be communicated as part of a quotation issued in response to an RFQ, if applicable.
5. Intellectual Property
5.1 All content on the Website, including but not limited to text, graphics, logos, images, product descriptions, software and the overall design and layout of the Website, is the property of the Operator or its licensors and is protected by applicable intellectual property laws.
5.2 Users may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content on the Website without our prior written consent, except as strictly necessary for the intended use of the Website (e.g., printing an RFQ confirmation for internal records).
6. Limitation of Liability
6.1 The Website is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, the Operator makes no representations or warranties of any kind, express or implied, regarding the operation of the Website, the accuracy or completeness of the information provided therein, or the availability of the Products.
6.2 The Operator shall not be liable for any direct, indirect, incidental, special, consequential or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunities, or loss of goodwill, arising out of or in connection with the use of or inability to use the Website, any reliance on Product information displayed on the Website, or any failure or delay in responding to an RFQ, howsoever caused and whether arising in or by virtue of breach of contract, misrepresentation, tort (including negligence), breach of statutory duty or otherwise.
6.3 Nothing in these Terms of Use shall exclude or in any way limit the Operator's liability (i) for gross negligence or wilful misconduct, or (ii) for any liability to the extent that such liability may not be limited or excluded as a matter of law.
7. User Obligations
7.1 By using the Website, the User agrees to:
- (i) use the Website only for its intended purpose, namely browsing Products and submitting RFQs;
- (ii) provide accurate and truthful information when submitting an RFQ or creating an Account;
- (iii) not use the Website in any manner that could damage, disable, overburden or impair the Website or interfere with any other party's use of the Website;
- (iv) not attempt to gain unauthorised access to any part of the Website, other Accounts, or any systems or networks connected to the Website; and
- (v) comply with all applicable laws and regulations in connection with the use of the Website.
8. Privacy and Data Protection
8.1 Data and information provided by Users during the use of the Website, including Account registration and the submission of RFQs, will be processed by the Operator in accordance with applicable data protection laws and as described in our Privacy Policy, available at https://lifeline.kablee.com/privacy-policy. Please refer to the Privacy Policy for all information regarding the processing of your personal data.
8.2 By using the Website and submitting an RFQ, you acknowledge and agree that your contact details and the information contained in your RFQ will be shared with the relevant Prysmian team members for the purpose of reviewing and responding to your request.
9. Modifications to the Terms of Use and the Website
9.1 We reserve the right to amend or update these Terms of Use at any time. Any changes will be effective upon posting of the revised Terms of Use on the Website. Your continued use of the Website after such posting constitutes your acceptance of the revised Terms of Use.
9.2 We reserve the right to modify, suspend or discontinue the Website (or any part thereof) at any time, with or without notice, and without liability to you.

11. Miscellaneous
11.1 No waiver by either party with respect to any breach or default or of any right or remedy and no course of dealing shall be deemed to constitute a continuing waiver of any other breach or default or of any other right or remedy, unless such waiver is expressed in writing and signed by the party to be bound.
11.2 If any clause or other provision of these Terms of Use is found to be invalid under any statute or rule of law, such provision, to that extent only, shall be deemed to be omitted without affecting the validity of the remainder of these Terms of Use.
11.3 These Terms of Use shall in all respects be construed in accordance with the laws of Italy, excluding, however, any effect on such laws of the 1980 Vienna Convention on Contracts for the International Sale of Goods. All disputes arising out of or in connection with these Terms of Use shall be subject to the exclusive jurisdiction of the courts of Milan, Italy.
11.4 The headings to the clauses and paragraphs of these Terms of Use are for guidance only and shall not affect the interpretation thereof.
11.5 All notices and communications in connection with these Terms of Use must be in writing.
